⚠️ IMPORTANT: PLEASE READ CAREFULLY

These Terms of Service constitute a legally binding agreement between you and Efficient AI Algorithms. By accessing or using ProtectTrack, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms contain an arbitration clause and class action waiver in Section 17.

1. Introduction and Acceptance

Welcome to ProtectTrack, a GPS monitoring Progressive Web Application ("PWA") operated by Efficient AI Algorithms, a company doing business in Maricopa County, Arizona, USA ("Company," "we," "us," or "our").

These Terms of Service ("Terms") govern your access to and use of the ProtectTrack platform, including our website, applications, and all related services (collectively, the "Service").

1.1 Binding Agreement

By clicking "I Accept," creating an account, or otherwise accessing or using the Service, you ("User," "you," or "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. This constitutes a legally binding contract between you and Efficient AI Algorithms.

1.2 Clickwrap Acceptance Required

Access to the Service requires affirmative acceptance of these Terms through our clickwrap interface. Mere browsing of publicly available portions of our website does not constitute acceptance.

1.3 Modifications

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or prominent notice within the Service. Your continued use after the effective date constitutes acceptance of modified Terms. If you do not agree to modifications, you must discontinue use and may request account deletion.

1.4 Age Requirement

You must be at least 18 years of age to create a ProtectTrack account. By creating an account, you represent and warrant that you are at least 18 years old.

2. Definitions

The following definitions apply throughout these Terms:

  • "Service" means the ProtectTrack GPS monitoring PWA platform, including all features, functionalities, and related services.
  • "User" or "Account Holder" means any individual who creates a ProtectTrack account. Users must be at least 18 years of age.
  • "Monitored Person" means any individual whose location is tracked through the Service, including the User themselves if they enable self-tracking.
  • "Vulnerable Person" means any Monitored Person who is a minor under 18 years of age, an individual with Alzheimer's disease or dementia, or an individual with cognitive or developmental disabilities requiring caregiver supervision.
  • "Enterprise Customer" means any User subscribed to the Enterprise Plan who uses the Service for business purposes including fleet tracking, field team monitoring, or employee location management.
  • "Device" means any smartphone, tablet, or other electronic device with a web browser capable of accessing the Service.
  • "Geofence" means a virtual geographic boundary defined by the User that triggers alerts when a Monitored Person enters or exits.
  • "SOS Feature" means the emergency alert functionality that sends notifications to designated contacts.

3. Service Description

3.1 Platform Overview

ProtectTrack is a Progressive Web Application (PWA) that provides real-time GPS location monitoring. The Service works on any device with a modern web browser, including basic smartphones from $20.

3.2 Core Features

  • Real-time Location: View current location of Monitored Persons on an interactive map.
  • Geofences: Create safe zones with automatic entry/exit alerts.
  • Location History: Review 30 days of location history.
  • SOS Button: Emergency alert feature to notify designated contacts.
  • Offline Mode: Location data stored locally and synced when connectivity resumes.
  • Multi-device Dashboard: Monitor multiple Devices from a single account.

3.3 PWA Limitations

As a Progressive Web Application, ProtectTrack operates within browser and operating system constraints. GPS access, background tracking, and notification delivery depend on device settings, browser permissions, and OS restrictions. See Section 13 for detailed limitations.

3.4 Service Availability

We strive for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

4. Eligibility and Registration

4.1 Age Requirement

You must be at least 18 years of age to create a ProtectTrack account. Children under 18 may only be added as Monitored Persons under parental or guardian supervision, subject to Section 6 (COPPA Compliance).

4.2 Accurate Information

You agree to provide accurate, current, and complete registration information and to update such information to maintain its accuracy. Providing false information is grounds for immediate account termination.

4.3 One Account Per Person

Each individual may maintain only one personal account. Enterprise Customers may create organizational accounts with multiple authorized administrators.

4.4 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Create a strong, unique password
  • Enable two-factor authentication when available
  • Notify us immediately of any unauthorized access
  • Never share your credentials with others

⚠️ 5. Prohibited Uses and Anti-Stalking Compliance

CRITICAL: Violation of this section may result in immediate account termination and referral to law enforcement.

5.1 Prohibited Activities

You agree that you will NOT use the ProtectTrack Service to:

  • (a) Track, monitor, or surveil any person without their informed consent or the consent of their authorized legal representative;
  • (b) Stalk, harass, threaten, or intimidate any person, in violation of 18 U.S.C. § 2261A (federal anti-stalking), ARS § 13-2923 (Arizona stalking statute), or any other applicable law;
  • (c) Track any person in violation of a court order, protective order, or restraining order;
  • (d) Conceal the existence of GPS tracking from the person being tracked, except where the person's authorized legal representative has provided consent (e.g., parents monitoring minor children, legal guardians of incapacitated persons);
  • (e) Engage in domestic violence, intimate partner surveillance, or coercive control;
  • (f) Track employees without providing required notices and obtaining required consents under applicable law;
  • (g) Use the Service for any unlawful purpose or in violation of any applicable law.

5.2 User Representations and Warranties

By activating tracking on any device, you represent and warrant that:

  • (i) You have obtained all necessary consents required by applicable law;
  • (ii) You are either: (A) the person being tracked, (B) the parent or legal guardian of a minor being tracked, or (C) the authorized legal representative of the person being tracked;
  • (iii) You will immediately cease tracking if consent is withdrawn;
  • (iv) Your use complies with all applicable federal, state, and local laws.

5.3 Platform Response to Misuse

Efficient AI Algorithms reserves the right to:

  • Suspend or terminate any account suspected of violating this Section;
  • Cooperate fully with law enforcement investigations;
  • Provide account data in response to valid legal process;
  • Report suspected criminal activity to appropriate authorities.

5.4 Safe Harbor Under Arizona Law

Pursuant to ARS § 13-2923(D)(1)(b), GPS tracking that is "authorized by law, the other person, the other person's authorized representative, or if the other person is a minor, the minor's parent or guardian" is exempt from the stalking statute. Lawful uses include parents monitoring minor children, legal guardians monitoring incapacitated persons, and employers monitoring employees with proper consent and notice.

⚠️ 6. Children's Privacy and COPPA Compliance

ProtectTrack complies with the Children's Online Privacy Protection Act (COPPA), 15 U.S.C. §§ 6501-6506, and the FTC's COPPA Rule, 16 CFR Part 312, including the 2025 amendments effective April 22, 2026.

6.1 Age Requirements

ProtectTrack accounts may only be created by individuals 18 years or older. Children under 13 may be added as "Monitored Persons" only under parental supervision and subject to this Section.

6.2 Parental Responsibility

By adding a child under 13 as a Monitored Person, you represent and warrant that:

  • (a) You are the parent or legal guardian of the child;
  • (b) You have full legal authority to consent to collection of the child's personal information;
  • (c) You have reviewed our Children's Privacy Notice;
  • (d) You have completed our verifiable parental consent process.

6.3 Verifiable Parental Consent (VPC)

Before collecting location data from any child under 13, we require verifiable parental consent through one of the following FTC-approved methods:

  • Credit/Debit Card Verification: A small charge with transaction notification (primary method, completed during subscription);
  • Government ID Verification: Matching submitted ID to account holder information;
  • Knowledge-Based Authentication (KBA): Dynamic questions a child cannot answer;
  • Video Conference: Live verification with trained personnel.

6.4 Data Minimization

For children under 13, we collect only personal information reasonably necessary for location tracking:

  • GPS coordinates and location history
  • Child's first name or alias (assigned by parent)
  • Device identifier

We do NOT collect email addresses, phone numbers, or other personal identifiers directly from children.

6.5 Parental Rights

Parents may at any time:

  • (a) Review all data collected from their child via the account dashboard;
  • (b) Request deletion of their child's data by contacting legal@algoritmos.io;
  • (c) Revoke consent by removing the child as a Monitored Person;
  • (d) Refuse to permit further collection.

6.6 Data Retention

Location data from children under 13 is retained for 30 days and automatically deleted. Upon account termination or consent revocation, all children's data is securely deleted within 30 days.

6.7 Third-Party Disclosure

We do NOT share children's personal information with third parties except service providers performing essential functions under strict contractual obligations. We never share children's data for advertising, monetization, or AI training purposes.

⚠️ 7. Employee Monitoring — Customer Obligations

This Section applies to Enterprise Customers using the Service for workforce GPS tracking, fleet management, or field team monitoring.

7.1 Legal Compliance Warranty

Customer represents and warrants that its use of the Service shall comply with all applicable laws regarding employee GPS tracking, electronic surveillance, data privacy, labor relations, and employment law.

7.2 Notice and Consent Requirements

Prior to activating GPS tracking for any employee, Customer shall:

  • (a) Provide all notices required by applicable law, including but not limited to:
    • California: Penal Code § 637.7, AB-984 (detailed written notice of monitoring)
    • New York: Civil Rights Law § 52-c (written notice upon hiring with acknowledgment)
    • Connecticut: CGS § 31-48d (prior written notice plus conspicuous posting)
    • Delaware: 19 Del. C. § 705(b) (advance notice)
  • (b) Obtain all required consents and acknowledgments;
  • (c) Maintain records of all consents for a minimum of 3 years;
  • (d) Make consent records available to Provider upon reasonable request.

7.3 Work-Hours Tracking

Customer shall configure the Service to track employees only during work hours unless explicit written consent for extended tracking has been obtained and is permitted under applicable law. California AB-984 provides employees an explicit right to disable monitoring outside work hours.

7.4 BYOD Policy

Where Customer deploys the Service on employees' personal devices (Bring Your Own Device), Customer shall:

  • Maintain a written BYOD policy;
  • Obtain explicit informed consent;
  • Ensure tracking is limited to work hours;
  • Consider reimbursement obligations (e.g., California Labor Code § 2802).

7.5 Unionized Workplaces

GPS tracking may be a mandatory subject of collective bargaining in unionized workplaces. Customer is solely responsible for compliance with NLRA obligations and collective bargaining agreements.

7.6 Customer Indemnification

Customer shall indemnify, defend, and hold harmless Provider from all claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • (a) Failure to obtain required consents;
  • (b) Failure to provide required notices;
  • (c) Use of the Service in violation of law or collective bargaining agreement;
  • (d) Tracking employees outside permitted hours;
  • (e) Any claim by an employee related to GPS monitoring.

8. Plans and Pricing

8.1 Available Plans

8.2 No Long-Term Contracts

All plans are month-to-month with no long-term commitment required. Annual billing is available at a discount.

8.3 Price Changes

We may modify pricing with at least 30 days' notice. Price changes will not affect the current billing period.

8.4 Social Plan Eligibility

The Social Plan is available to verified non-profit organizations, social service agencies, and caregiving organizations. Eligibility verification is required.

9. Payment and Billing

9.1 Billing Cycle

Paid plans are billed monthly or annually in advance, beginning on your subscription date.

9.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You may cancel at any time through your account settings or by contacting support.

9.3 Payment Methods

We accept major credit cards, debit cards, and other payment methods as displayed during checkout. You authorize us to charge your payment method for all applicable fees.

9.4 Refund Policy

  • Monthly Plans: No refunds for partial months. Service continues through end of billing period.
  • Annual Plans: Prorated refund available within first 30 days. After 30 days, no refunds; service continues through end of annual term.

9.5 Taxes

Prices do not include applicable taxes. You are responsible for all taxes, levies, and duties imposed by taxing authorities.

9.6 Failed Payments

If payment fails, we will attempt to process the charge again. After multiple failures, your account may be suspended until payment is resolved.

10. Intellectual Property

10.1 Ownership

The Service, including all software, designs, text, graphics, interfaces, and all intellectual property rights therein, is owned by Efficient AI Algorithms or its licensors. All rights not expressly granted are reserved.

10.2 Limited License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

10.3 Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service;
  • Reverse engineer, decompile, or disassemble any part of the Service;
  • Rent, lease, sell, sublicense, or transfer the Service;
  • Use the Service to develop competing products;
  • Remove or alter any proprietary notices.

10.4 Trademarks

"ProtectTrack," "Efficient AI Algorithms," and associated logos are trademarks of Efficient AI Algorithms. You may not use our trademarks without prior written permission.

10.5 User Content

You retain ownership of data you submit to the Service. You grant us a limited license to process your data solely to provide the Service.

11.1 Acknowledgment

You acknowledge that the limitations in this Section reflect a reasonable allocation of risk and are a fundamental basis of the bargain between you and Efficient AI Algorithms.

This Section applies if you use ProtectTrack to monitor children, elderly persons, or persons with Alzheimer's disease, dementia, or other cognitive conditions ("Vulnerable Persons").

15.1 Representation of Authority

By activating tracking for a Vulnerable Person, you represent and warrant that you are the parent, legal guardian, or duly authorized caregiver with full legal authority to consent to GPS monitoring on behalf of the Vulnerable Person.

15.2 Critical Disclaimers

15.3 Recommended Precautions

ProtectTrack should be used as one component of a comprehensive safety plan that may include:

  • Appropriate in-person supervision
  • Physical safety measures (door alarms, secure areas)
  • Identification bracelets or cards
  • Communication with neighbors and local authorities
  • Professional caregiving services

16. International Users

16.1 European Users (GDPR)

If you are located in the European Economic Area (EEA), United Kingdom, or Switzerland, your data processing is governed by the General Data Protection Regulation (GDPR), Regulation (EU) 2016/679.

  • Legal Bases: We process data based on consent, contractual necessity, legitimate interest, or vital interests as described in our Privacy Policy.
  • Your Rights: You have rights to access, rectification, erasure, restriction, portability, and objection.

  • Response Time: 30 days for data subject requests.

16.2 Brazilian Users (LGPD)

If you are located in Brazil, your data processing is governed by the Lei Geral de Proteção de Dados (LGPD), Law No. 13,709/2018.

  • Your Rights: Confirmation, access, correction, anonymization, blocking, deletion, portability, information about sharing, and consent revocation.

16.3 Cross-Border Data Transfers

Your data may be transferred to and processed in the United States. We protect international transfers through:

  • EEA Transfers: EU-US Data Privacy Framework certification and EU Standard Contractual Clauses (Commission Decision 2021/914).
  • Brazilian Transfers: ANPD-approved Standard Contractual Clauses per Resolution CD/ANPD No. 19/2024.
  • Supplementary Measures: End-to-end encryption and contractual commitments to challenge government access requests.

⚠️ 17. Dispute Resolution and Arbitration

IMPORTANT: This Section contains a binding arbitration clause and class action waiver. Please read carefully.

17.1 Governing Law

These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of law principles. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of the arbitration provisions.

17.2 Informal Resolution

Before initiating arbitration, you agree to contact us at legal@algoritmos.io and attempt to resolve the dispute informally for at least 30 days.

17.3 Binding Arbitration

Any dispute not resolved informally shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under the Consumer Arbitration Rules, including the Mass Arbitration Supplementary Rules if applicable.

  • Location: Arbitration shall take place in Maricopa County, Arizona, or by telephone/video at your election.
  • Fees: For claims under $10,000, we will pay all AAA filing and arbitrator fees. For larger claims, fees are governed by AAA rules.
  • Award: The arbitrator's decision is final and binding and may be entered in any court of competent jurisdiction.

17.4 Batching for Mass Arbitration

If 25 or more similar claims are filed, they shall be grouped into batches of 100 for coordinated resolution. This is a batching provision, not a bellwether process — all claims in each batch will be resolved together.

17.5 Class Action Waiver

17.6 Small Claims Exception

Either party may bring an individual action in small claims court in Maricopa County, Arizona (or your county of residence) if the claim qualifies.

17.7 Opt-Out Right

You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@algoritmos.io within 30 days of first accepting these Terms. The notice must include your name, address, email, and a clear statement that you wish to opt out.

18. Termination

18.1 Termination by You

You may cancel your account at any time through your account settings or by contacting legal@algoritmos.io. Cancellation takes effect at the end of your current billing period.

18.2 Termination by ProtectTrack

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms, particularly Section 5 (Prohibited Uses);
  • We are required to do so by law;
  • We reasonably believe your conduct may expose ProtectTrack or others to legal liability;
  • Your account has been inactive for more than 24 months.

18.3 Effect of Termination

Upon termination:

  • Your right to access the Service immediately ceases;
  • We will delete your account data within 30 days, except as required by law;
  • Any data required for legal compliance or legitimate business purposes may be retained;
  • Termination does not relieve you of any payment obligations incurred before termination.

18.4 Surviving Provisions

The following Sections survive termination: 5 (Prohibited Uses), 7.6 (Customer Indemnification), 10 (Intellectual Property), 11 (Limitation of Liability), 12 (Disclaimer of Warranties), 13-15 (Safety Disclaimers), 17 (Dispute Resolution), and 19 (General Provisions).

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Efficient AI Algorithms regarding the Service and supersede all prior agreements.

19.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative.

19.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets upon notice to you.

19.5 Force Majeure

Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet outages.

19.6 Notices

We may provide notices via email, in-app notifications, or posting on the Service. Notices to us must be sent to legal@algoritmos.io.
