Legal conditions governing the use of Efficient AI Algorithms services. Your data is protected: we do not use it to train AI.
1. Introduction and Acceptance
Welcome to Efficient AI Algorithms. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Efficient AI Algorithms ("Company", "we"), a company registered in Maricopa County, Arizona, United States, operating through algoritmos.io.
⚠️ Important
By accessing or using our services, you agree to be legally bound by these Terms. If you do not agree with any part, you may not use our services.
1.1 Legal Capacity
By accepting these Terms, you represent that:
- You are at least 18 years of age
- You have legal capacity to enter into binding contracts
- If acting on behalf of a company, you have authority to bind it
- You are not prohibited from using our services under the laws applicable to your jurisdiction
1.2 Nature of Services
Our data and software services are exclusively for business use (Business-to-Business). ProtectTrack GPS is a mixed B2B/B2C service aimed at the protection of vulnerable individuals.

In case of conflict between these documents, the provision most protective of the Client regarding personal data shall prevail.
2. Description of Services

2.1 Availability
We strive to maintain continuous availability of recurring services (monitoring, automation, ProtectTrack). However, we do not guarantee uninterrupted availability. We may temporarily suspend services for scheduled maintenance (with 48 hours notice) or due to force majeure.
2.2 Pricing Model
We operate with a tiered volume pricing model: higher volume means lower unit cost. Exact prices are calculated in our interactive calculator and confirmed before any commitment. Software development projects are quoted individually.
2.3 Modifications
We reserve the right to modify services. Material changes will be notified with at least 30 days' notice. Price changes do not affect already-billed periods.
3. Client Data Protection
Protecting your data is a central commitment of our contractual relationship. This section establishes binding obligations that complement our Privacy Policy.
🚫 Contractual Commitment: Your Data Is NOT Used to Train AI
Efficient AI Algorithms contractually commits that no data provided by the Client — including documents, source code, extracted data, configurations, location data, and communications — will be used to train, fine-tune, improve, or feed artificial intelligence models, machine learning, or any automated learning system, whether proprietary or third-party.
This commitment constitutes a contractual obligation whose breach entitles the Client to indemnification.
3.1 No Storage of Sensitive Data
- Payment data: We DO NOT store card numbers, expiration dates, or CVV. Stripe processes all payments.
- Sensitive data: We DO NOT collect biometric, health, racial, ethnic, belief, or sexual orientation data.
- Client credentials: Stored exclusively in encrypted environment variables (AES-256), never in source code. Deleted upon service end.
3.2 Transient Processing

3.3 Data Isolation
Each Client's data is processed and stored in logically isolated environments. There is no possibility of cross-contamination between clients. No data from one Client is accessible, visible, or usable by another Client.
3.4 Limited Human Access
Processing is automated. No employee accesses the content of Client documents, extracted data, or code unless the Client requests specific technical support, and in that case only with their prior explicit authorization.
3.5 Third-Party Providers
When we use third-party tools to execute services, we exclusively select providers with Data Processing Agreements (DPAs) that include explicit no-training clauses for client data.
3.6 Client Rights Over Their Data
The Client maintains full ownership of their data at all times. They may exercise their rights of access, rectification, erasure, portability, and objection as detailed in our Privacy Policy.
4. Payments and Billing
4.1 Billing Model
- Recurring services (monitoring, automation, ProtectTrack): billed monthly in advance
- Per-project services (software development): per milestones agreed in writing
- Volume-based services (extraction, PDF): per applicable tiered rate
- Initial consultation always free
4.2 Payment Processing

- All payments processed by Stripe, Inc. (PCI-DSS Level 1 certified)
- We DO NOT store credit card or banking data in our systems
- Prices in US dollars (USD)
- We accept credit cards, debit cards, and international transfers
- Applicable taxes per Client jurisdiction
4.3 Renewal and Cancellation
Subscriptions renew automatically. To avoid renewal, cancel before the expiration date.

- Cancel at any time with no penalty or hidden charges
- Access maintained until the end of the paid period
- No additional charges after cancellation
- Client data deleted per retention periods (Section 3.2)
4.4 Refund Policy
- Timeframe: 30 days from the charge
- Condition: Results do not meet technical specifications agreed in writing
- Procedure: Contact contacto@algoritmos.io with documentation
- Exclusions: No refunds for post-delivery requirement changes or subjective dissatisfaction when technical specifications have been met
5. Acceptable Use
5.1 Permitted Uses
- Business intelligence and market analysis
- Legitimate competitive research
- Digitization of own documents or with owner authorization
- Internal business process automation
- Software development for business operations
- Protection of vulnerable individuals under your legal custody (ProtectTrack)
5.2 Prohibitions
- Resell, sublicense, or redistribute services without written authorization
- Build competing products based on our services
- Reverse engineer software, algorithms, or interfaces
- Circumvent, disable, or compromise security measures
- Create fake accounts or provide fraudulent information
- Extract data that is not publicly accessible without legal authorization
- Use services for illegal activities in any jurisdiction
- Use ProtectTrack GPS for unauthorized surveillance, harassment, or stalking
- Process minors' data without verifiable parental consent
⚠️ Consequences
Non-compliance may result in immediate service suspension without refund, account termination, reporting to competent authorities, and legal action.
6. Software Development Terms
6.1 Project Scope
Each development project is defined by a scope document ("Scope of Work") agreed in writing between both parties before starting work. Changes to scope require written agreement and may affect timelines and costs.
6.2 Code Ownership
✅ The Client Owns the Code
All source code, technical documentation, designs, and digital assets developed specifically for the Client's project are the exclusive property of the Client upon full payment. The Company assigns all intellectual property rights over the project-specific deliverables.
6.3 Ownership Exceptions
The Company retains rights over:
- Internal tools: Pre-existing frameworks, libraries, and utilities used during development
- General knowledge: Techniques, design patterns, and know-how acquired (excluding Client business logic)
- Open source components: Subject to their respective licenses (MIT, Apache, etc.)
6.4 Deliverables
- Complete source code in a transferable repository to the Client
- Technical documentation for architecture, APIs, and deployment
- Installation and configuration instructions
- 30 days of post-delivery support included
6.5 Project Confidentiality
All business logic, specifications, data, and project communications are strictly confidential. They are not shared with other clients, not reused in other projects, and not used to train AI models (see Section 3).
7. Web Scraping and Data Extraction Terms
7.1 Client Declarations
When contracting extraction services, the Client warrants that:
- They have the legal right to extract data from the specified sites
- They have reviewed and comply with the terms of service of each target site
- They will not request extraction of copyrighted content without authorization
- They will implement measures to protect personal data that may be obtained
- They have obtained the necessary authorizations for the intended use of the data
7.2 Legal Framework Reference
📚 Legal Context
Under U.S. case law (Van Buren v. United States, 2021; hiQ Labs v. LinkedIn, 2022), scraping publicly accessible data generally does not violate the CFAA. However, specific site terms of service may be contractually enforceable.
7.3 Responsible Technical Practices
- Robots.txt: We detect and consider robots.txt directives as best practice guidance
- Rate Limiting: We implement speed limits to avoid overloading target servers
- Identification: Our crawlers identify themselves appropriately
- Public data: We only extract publicly accessible information without authentication
7.4 Data "AS-IS"
Extracted data is provided "AS-IS". We DO NOT guarantee accuracy, completeness, or timeliness of data extracted from third-party sites.
7.5 Protection of Extracted Data
Extracted data is the Client's property. It is delivered and deleted from our servers within 7 days after delivery. It is not used for AI training nor shared with other clients.
7.6 No Legal Advice
We provide technological tools, NOT legal advice. The Client is solely responsible for determining the legality of their extraction activities in their jurisdiction.
8. PDF to Excel Conversion Terms
8.1 Client Documents
The Client declares that they have the legal right to process the PDF documents they submit, either as owner, authorized agent, or with owner consent.
8.2 Sensitive Content
We recognize that PDFs may contain sensitive financial, tax, or business information. Our protocol guarantees:
- Automated processing without human access to content
- Original files deleted within 24 hours after delivery
- Isolated processing environments per client
- TLS 1.3 encryption in transit and AES-256 at temporary rest
- No retention of copies, backups, or archives of original documents
8.3 Accuracy
Our OCR achieves accuracy rates of 99.8% on legible documents. We do not guarantee perfect accuracy on low-quality, handwritten, or non-standard format documents. The Client should verify results before using them for business decisions.
9. Competitive Monitoring Terms
9.1 Scope
The service monitors publicly accessible information from competitor websites: prices, availability, product descriptions, and catalog changes.
9.2 Client Responsibility
The Client is responsible for verifying that monitoring the selected sites does not violate their terms of service or applicable laws in their jurisdiction.
9.3 Data History
Monitoring history is maintained during the active subscription. After cancellation, all data is deleted within 30 days. The Client can export their data before cancellation.
9.4 Alerts and Notifications
Price change alerts are sent according to Client settings (email, Slack, API). We do not guarantee instant delivery of notifications due to possible latencies in third-party services.
10. Process Automation Terms
10.1 Credentials and Access
When the Client provides API credentials or access to their systems for integrations:
- Stored exclusively in encrypted environment variables
- Never included in source code, repositories, or databases
- Deleted immediately upon service end
- We recommend generating credentials with limited permissions and revoking them upon completion
10.2 Data in Transit
Data flows through automated pipelines without post-processing retention. We do not store intermediate data or transformation results beyond delivery to the destination configured by the Client.
10.3 24/7 Monitoring
Active automation workflows include continuous monitoring. In case of failure, the Client is notified and automatic retries are implemented according to the agreed configuration.
11. ProtectTrack GPS Specific Terms
ProtectTrack GPS is a location monitoring platform designed for the protection of vulnerable individuals. Due to the sensitive nature of location data, the following specific conditions apply in addition to the general terms.
11.1 Mandatory Consent
🚫 Absolute Consent Requirement
- The tracked person must give their explicit and informed consent before activating tracking
- For minors under 18: verifiable consent from parent or legal guardian
- For adults under legal guardianship: documentation of the guardianship relationship
- Consent may be unilaterally revoked at any time by the tracked person
- Use without valid consent constitutes a serious breach that may result in immediate termination and reporting to authorities
11.2 Specific Prohibitions
- Stalking and harassment: It is strictly prohibited to use ProtectTrack for non-consensual surveillance, harassment, intimidation, or any form of stalking. We comply with A.R.S. § 13-2923 (Arizona) and applicable anti-stalking legislation.
- Covert employee monitoring: May not be used to monitor employees without their knowledge and written consent
- Third-party surveillance: May not be used to track persons who have not given their consent
11.3 Technical Anti-Abuse Protections
- Consent verification as a prerequisite for activation
- Visible notifications on the tracked device
- The tracked person can unilaterally revoke access
- Abusive usage pattern detection systems
- Cooperation with authorities in confirmed misuse cases
11.4 Minors (COPPA)
When ProtectTrack is used to monitor children under 13, we comply with the Children's Online Privacy Protection Act (COPPA). Verifiable parental consent is required. Parents/guardians can review, modify, or delete the minor's data at any time.
11.5 Location Data
- GPS data is the property of the user who configured the monitoring
- Not used for AI training, heat maps, or traffic analysis
- Upon account cancellation, all data is permanently deleted within 72 hours
- No backups of location data are retained after deletion
12. Intellectual Property
12.1 Company Property
Efficient AI Algorithms retains all rights over:
- Platform software, internal code, and proprietary tools
- Processing algorithms, parsers, and extraction engines
- APIs, user interfaces, and platform design
- Trademarks, logos, and the name "Efficient AI Algorithms"
- Platform documentation and marketing materials
12.2 Client Property
The Client retains full ownership over:
- Data extracted through our services
- PDF documents and files provided for processing
- Custom source code developed for their project (upon full payment — see Section 6.2)
- Project configurations, specifications, and business logic
- Location data generated in ProtectTrack
- Competitive monitoring history during subscription
12.3 License of Use
For platform services (not custom development), we grant a non-exclusive, non-transferable, non-sublicensable, and revocable license to use our services during the active subscription period, exclusively for the Client's business operations.
12.4 Resale Prohibition
The resale, sublicense, or redistribution of services or results obtained through the platform is expressly prohibited without prior written authorization.
13. Warranties and Disclaimers
13.1 30-Day Warranty
All our services include a 30-day warranty: if results do not meet the technical specifications agreed in writing, the Client is entitled to a free retry or proportional refund.
13.2 Data Protection Warranty
We contractually guarantee that Client data will be treated in accordance with Section 3 of these Terms and our Privacy Policy. Breach of this warranty entitles the Client to indemnification.
13.3 Third-Party Data "AS-IS"
Data extracted from third-party websites and monitoring results are provided "AS-IS" and "AS-AVAILABLE".
13.4 Disclaimer of Implied Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES REGARDING THIRD-PARTY DATA, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THIS DISCLAIMER DOES NOT APPLY TO OUR EXPRESS DATA PROTECTION WARRANTIES (SECTION 3) OR THE 30-DAY WARRANTY (SECTION 13.1).
13.5 Client Responsibility
The Client is responsible for:
- Verifying data accuracy before making business decisions
- Determining the legality of data use in their jurisdiction
- Complying with data protection laws applicable to their use of the data
- Obtaining necessary permissions for their activities
- The final use of extracted data, developed code, and results obtained
14. Limitation of Liability
14.1 Exclusion of Indirect Damages
WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING:
- Loss of profits, revenue, or data
- Business interruption
- Loss of reputation
- Costs of substitute services
14.2 Maximum Liability Cap
OUR TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY THE CLIENT IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
14.3 Exceptions
The above limitations DO NOT apply to:
- Breach of data protection obligations (Section 3)
- Client indemnification obligations
- Breach of confidentiality
- Willful misconduct or gross negligence by either party
- Intellectual property infringement
- Damages caused by misuse of ProtectTrack GPS
15. Indemnification
15.1 By the Client
The Client will indemnify Efficient AI Algorithms against claims arising from:
- Use of services in violation of these Terms
- Violation of applicable laws or terms of service of target sites
- Processing of personal data without adequate legal basis
- Third-party claims for data extraction activities
- Misuse of ProtectTrack GPS (unauthorized surveillance, stalking)
- Any breach of these Terms
15.2 By the Company
Efficient AI Algorithms will indemnify the Client against claims arising from:
- Third-party intellectual property infringement by our platform software
- Breach of our data protection obligations (Section 3)
- Security breach caused by demonstrable Company negligence
Conditions: the Client must promptly notify, allow us to control the defense, and cooperate reasonably.
16. Termination
16.1 By the Client
You may terminate your subscription or contract at any time without penalty by contacting contacto@algoritmos.io.
16.2 By the Company
We may suspend or terminate access if the Client:
- Violates these Terms, especially Sections 5 (Acceptable Use) or 11 (ProtectTrack)
- Jeopardizes the security or integrity of our systems
- Fails to make agreed payments after 15 days' notice
- Provides materially false information
- Is required to do so by a competent judicial authority
16.3 Effects of Termination
- The right to use services ceases immediately
- The Client must pay outstanding amounts for services already provided
- Client data is deleted per retention periods (Section 3.2)
- Sections 3, 12, 13, 14, 15, and 17 survive termination
16.4 Data Export
Before termination, the Client may request a complete export of their data. We will provide the data in standard format (CSV, JSON, Excel) within 10 business days from the request.
17. Applicable Law and Jurisdiction
17.1 Applicable Law
These Terms are governed by the laws of the State of Arizona, United States, without prejudice to non-waivable rights conferred upon the Client by data protection and consumer laws of their country of residence.
17.2 Jurisdiction
The parties submit to the exclusive jurisdiction of state and federal courts located in Maricopa County, Arizona.
17.3 Arbitration
Commercial disputes may be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), seated in Phoenix, Arizona. The language of arbitration shall be English or Spanish at the Client's election.
17.4 Class Action Waiver
To the maximum extent permitted by law, the Client waives the right to participate in class actions. Claims must be brought individually.
17.5 Non-Waivable Local Rights
Where local laws of the Client grant non-waivable rights (including rights under GDPR, LGPD, CCPA, or other data protection laws), such rights shall prevail over any conflicting provision of these Terms.
